In these Terms, “Tradelycs”, “we”, “us” and “our” refer to Engycs EURL. “You” refers to the business using our platform or services.
2. Scope and Acceptance
These Terms govern business use of the Tradelycs platform and services provided by Engycs EURL.
The platform is intended for businesses and individuals acting in a professional capacity. By registering on behalf of a business, you confirm that you are authorised to represent it and accept these Terms on its behalf.
These Terms must be made available before acceptance. A separate written agreement may supplement them. Where provisions conflict, the specific agreement takes precedence for the relevant service, subject to mandatory law.
3. Our Services
Tradelycs facilitates business connections and supports international trade, including:
- Product sourcing and supplier identification.
- Buyer and seller introductions.
- Business development and market-entry support.
- Business consultancy.
- Coordination of logistics and fulfillment services.
- Organisation and coordination of trade missions.
The scope, deliverables, timing and responsibilities for a particular assignment will be agreed separately.
Unless expressly agreed in writing, Tradelycs acts as a facilitator and service provider. It does not act as the buyer, seller, importer, exporter, carrier, customs representative or payment intermediary in an underlying transaction.
Tradelycs cannot bind your business to a transaction without your express authority.
4. Accounts and Business Verification
You must provide accurate, complete and current account and business information. You must have authority to submit any documents or information provided.
We may request supporting documents before granting access to particular features or services. We may decline or suspend verification where information is incomplete, inconsistent, misleading or cannot reasonably be verified.
Verification reflects our review of the information available at that time. It is not a guarantee of solvency, product quality, regulatory compliance or future performance.
You are responsible for protecting your login credentials and promptly reporting suspected unauthorised access. You must not share access with unauthorised persons.
5. Requests and Commercial Agreements
Submitting a sourcing request, product listing, service request or expression of interest does not by itself create a purchase agreement or commit either party to a paid assignment.
A paid assignment begins only after its scope and commercial terms have been expressly accepted by the relevant parties.
Each underlying transaction must identify the contracting parties and establish its own terms, including specifications, quantities, price, currency, payment arrangements, delivery, inspection, insurance and any applicable warranties.
Information presented on the platform may require further confirmation before it can be relied upon for a transaction.
6. Fees and Payment
Any service fees, commissions, expenses, taxes and payment deadlines must be disclosed and agreed before the relevant paid service begins.
Registration or submission of a request does not authorise undisclosed charges.
Commission arrangements, where applicable, must specify the event that makes the commission payable and how it is calculated.
Additional work or third-party costs require your prior agreement. Cancellation charges and refund arrangements must be stated in the relevant offer or service agreement, subject to applicable law.
7. Your Responsibilities
You are responsible for the accuracy and lawfulness of your submissions and for conducting due diligence appropriate to your transactions.
You must comply with laws applicable to your business and activities, including relevant import and export requirements, customs rules, product standards, intellectual property rights and anti-bribery requirements.
You must not use Tradelycs to:
- Submit false, forged or misleading information.
- Offer prohibited goods or unlawful services.
- Infringe another party’s rights.
- Send spam or abusive communications.
- Attempt unauthorised access to accounts, documents or systems.
- Disrupt the platform or circumvent its access controls.
8. Third Parties and Transaction Risks
Third-party suppliers, buyers and service providers remain responsible for their own contractual obligations.
An introduction or recommendation does not constitute a guarantee of a third party’s performance. You should independently assess the suitability of a proposed business partner and the terms of any transaction.
Unless expressly included in an agreement, Tradelycs does not provide legal, tax, customs or regulated financial advice.
Nothing in this section excludes responsibility that Engycs EURL has expressly assumed or that cannot legally be excluded.
9. Confidentiality
Each party must protect non-public commercial information received from the other and use it only for the relevant business relationship.
Information may be shared with personnel, advisers or service providers who need it for that purpose and are subject to appropriate confidentiality obligations. Disclosure may also be made where required by law.
These obligations do not apply to information that is lawfully public, independently developed or lawfully obtained without a confidentiality restriction. They continue after the relationship ends for as long as the information remains confidential.
10. Personal Data
Our Privacy Policy explains how personal data is processed.
You must only submit personal data that you are authorised to share and that is relevant to the requested service. Do not upload unnecessary sensitive information.
Acceptance of these Terms does not constitute blanket consent to all processing of personal data.
11. Intellectual Property
The Tradelycs name, branding, website design and original platform content belong to Engycs EURL or their respective rights holders.
You retain your rights in the content you submit. You grant Engycs EURL a non-exclusive right to store, reproduce and use that content only as reasonably necessary to operate the platform and perform the services you request.
Public use of your business name, logo or confidential materials for marketing requires your separate permission.
12. Availability and Liability
We will perform agreed services with reasonable care and skill. We do not guarantee uninterrupted platform availability or any particular commercial result unless expressly agreed in writing.
Maintenance, security incidents or circumstances outside our reasonable control may affect availability. We will take reasonable steps to address disruptions.
Each party remains responsible for breaches of its obligations under applicable law and the relevant agreement. Nothing in these Terms excludes liability for fraud, wilful misconduct or any liability that cannot legally be excluded or limited.
Any additional allocation or limitation of liability for a paid assignment must be expressly stated in its service agreement and permitted by applicable law.
13. Suspension and Termination
We may restrict or suspend access where reasonably necessary to address security risks, unlawful activity, material breaches of these Terms or unreliable business information.
Where practicable, we will explain the reason and provide an opportunity to resolve the issue. Immediate action may be taken where necessary to prevent harm or comply with law.
You may request closure of your account by contacting contact@engycs.com.
Account closure does not automatically cancel existing contracts, outstanding payment obligations or duties that are intended to continue. Personal data will be handled in accordance with the Privacy Policy and applicable law.
14. Events Outside Reasonable Control
A party affected by an event outside its reasonable control must notify the other party where an agreed service is materially affected and take reasonable steps to reduce the impact.
The parties will discuss appropriate adjustments, including revised deadlines or termination of the affected assignment where continued performance is no longer reasonably possible.
Any payment or refund consequences will be determined by the relevant agreement and applicable law.
15. Complaints and Disputes
Please send complaints to contact@engycs.com with sufficient information for us to investigate. We will seek to resolve disputes through good-faith discussions.
A separate service agreement may specify the governing law and competent court. In the absence of a valid agreement on these matters, they will be determined by the applicable legal rules.
Nothing in these Terms removes rights or remedies that cannot legally be excluded.
16. Changes to These Terms
We may update these Terms to reflect changes in our services or legal requirements.
Material changes will be communicated before they take effect, with renewed acceptance requested where required. Changes will not retrospectively alter an existing paid assignment without agreement.
